- Fellow owners,
- As you may or may not know, the predecessor entity for the DAO still holds title to the DAO’s real property at 9634 S Green St, Chicago, IL 60643. Please review and ratify this Organizational Resolution retroactively authorizing the DE LLC to be reinstated in DE and IL. The WY DAO LLC shall become the 100% sole member of the DE LLC and its members shall have all authority over the ownership and management of its underlying asset. The Organizational Resolution also designates Earl Vanze Co as the Manager of the DE LLC for the purposes of executing administrative tasks. Being that the defunct DE LLC would become an active single-member LLC, it would become a disregarded entity for tax purposes and will not need to file its own tax returns.
- The DE LLC will need to remain as an active entity registered with the Secretary of State in both DE and IL so long as it continues to hold title to real property and do business in the respective states, and the Manager shall be responsible for maintaining compliance with local and state laws. The Manager also has discretion to obtain a correction deed and/or affidavit of scrivener’s error, and grant title of the DAO's real property currently held by “LOFTY HOLDING 9634 S Green Street LLC, an Illinois Limited Liability Company” to "Lofty Holding 5541 S Peoria Street DAO LLC, a Wyoming decentralized autonomous organization limited liability company” and/or a third-party buyer upon closing of a sale, and formally terminate the DE LLC when it is no longer necessary for the DE LLC to remain active.

- Dear Investors, I wanted to update you on the property, which has experienced multiple sewer issues since the tenant moved in. Despite our efforts to address these problems, they have continued to persist.
- After conducting a camera inspection, we discovered a broken pipe, which means that the city will need to be involved. This will require more extensive work to resolve the issue.

- In my eyes, Jerry’s recent announcement doesn’t change the challenges we’ve recently faced with yhomes. There’s been a lack of documentation, and the initial property manager agreement hasn’t been abided by.
- To avoid complications and bring stability back to Green Street, I recommend we transition to ECO Systems LLC as the property manager. Earl has been a dedicated and loyal member of Lofty for the past four years, consistently demonstrating his ability to manage some of the platform’s best-performing properties.
