The EARLDAO loan / line of credit does not yet exist; this proposal requests that EARLDAO approve, offer, and fund an evergreen revolving line of credit for the 85-104 Alawa DAO, with a maximum committed principal limit of $15,000.00, for the purpose of settling current property cash deficits, unpaid accruals, sewer back payments, the sewer line repair reserve, and future property cash deficits or approved reserves within that limit. Authorize EARLDAO line-of-credit proceeds to settle the ECO GL cash deficit, June PM fee accrual, $2,000 sewer loan back payments, and a $3,500 sewer line repair reserve listed above. Authorize future draws and re-borrowings within the $15,000.00 limit for documented property cash deficits, approved reserves, carrying costs, or other 85-104 Alawa DAO obligations, subject to EARLDAO funding availability and ordinary servicing records. Exclude the Daniel Murrey furnishing loan payoff because it is already paid off. Exclude full sewer loan payoff because the sewer loan does not need payoff yet. Authorize an alternative negotiated settlement by issuing dilutive equity to EARLDAO in satisfaction of the approved base obligation of $12,515.07, subject to final valuation and cap-table documentation. Authorize loan documentation to be effective as of July 1, 2025 solely to memorialize the economics approved by the DAO, provided final documents show actual execution dates and do not misstate when signatures occurred. Authorize ECO Systems, LLC and Lofty AI, Inc. to administer records, payment routing, payoff coordination, and member reporting. Voting Options APPROVE - explicitly request and authorize the EARLDAO evergreen line of credit and equity settlement option. APPROVE WITH MODIFICATIONS - approve subject to specified changes to amount, valuation, timing, or documentation. REJECT - reject the settlement and require a revised borrower-DAO proposal.
