## Purpose

This is the EARLDAO lender-side approval of the explicit borrower request from the 85-104 Alawa DAO. The EARLDAO loan / line of credit does not yet exist; this proposal authorizes EARLDAO to accept that request and make an evergreen revolving line of credit official for Poodle LFTY0452 DAO LLC, with a maximum committed principal limit of $15,000.00. The line of credit may fund/refinance the listed property deficits, unpaid accruals, sewer back payments, the sewer line repair reserve, and future property cash deficits or approved reserves within that limit, or EARLDAO may accept a negotiated dilutive equity settlement instead.

## Lender Authorization

- Accept the 85-104 Alawa DAO request and authorize EARLDAO to offer, fund, and make official an evergreen revolving line of credit to Poodle LFTY0452 DAO LLC with a $15,000.00 maximum committed principal limit.
- Authorize an initial draw / funded amount of $12,765.37, inclusive of the 2% origination fee, under that line of credit.
- Authorize line-of-credit proceeds to settle the listed cash deficit, unpaid accruals, $2,000 sewer back payments, and a $3,500 sewer line repair reserve.
- Authorize future draws and re-borrowings within the $15,000.00 limit for documented property cash deficits, approved reserves, carrying costs, or other 85-104 Alawa DAO obligations, subject to EARLDAO funding availability and ordinary servicing records.
- Exclude the Daniel Murrey furnishing loan payoff because it is already paid off.
- Exclude full sewer loan payoff because the sewer loan does not need payoff yet.
- Approve line-of-credit terms of 12% per annum interest on outstanding funded principal, compounded annually, with documentation effective as of July 1, 2025 and actual execution dates shown accurately.
- Authorize EARLDAO to accept a negotiated dilutive equity settlement in lieu of, or as conversion of, outstanding funded obligations under the line of credit if approved by both DAOs.
- Authorize EARLDAO representatives to coordinate with ECO Systems, LLC and Lofty AI, Inc. for servicing, ledger true-up, payoff coordination, payment routing, and reporting.

## Voting Options

- APPROVE - accept the 85-104 Alawa DAO request and authorize EARLDAO to make the evergreen line of credit official and/or accept the equity settlement option.
- APPROVE WITH MODIFICATIONS - approve subject to specified changes to amount, valuation, timing, or documentation.
