## Purpose

Authorize EARLDAO to make the 85-104 Alawa Pl loan official and fund a direct payoff to ECO Systems LLC, replacing the informal ECO deficit with a documented lender asset and borrower liability.

- Loan proceeds are paid directly to ECO Systems LLC and documented as satisfaction of the corresponding ECO receivable.
- Monthly statements must separate principal, interest, payments, and any additional approved advances.
- No additional draws are authorized by this proposal.
- Borrower distributions may resume only after current property obligations, approved reserves, and scheduled loan payments are current.

## Voting Options

1. **APPROVE MATCHING LOAN AUTHORIZATION** - authorize the loan on the terms above if the borrower DAO selects its EARLDAO option.
2. **APPROVE WITH MODIFICATIONS** - specify a lower amount, different term, or other lender condition.
3. **REJECT** - do not fund; require equity conversion or a revised borrower proposal.
4. **ABSTAIN**.

## Conditions Before Funding

- Obtain the certified borrower-DAO vote result.
- Refresh the Baselane reconciliation through closing.
- Execute a promissory note showing actual signature dates.
- Record the ECO payoff and EARLDAO receivable without duplicating the liability.
- Confirm no equity is simultaneously issued for the same settled amount.
