ORGANIZATIONAL RESOLUTION OF THE MEMBERS OF
Lychee LFTY0431 DAO LLC
The undersigned, being all members of Lychee LFTY0431 DAO LLC, a Wyoming limited
liability company (hereinafter the "Company"), acting pursuant to Article 1.8 and Article 7 of the
Operating Agreement dated August 27, 2024, of the Company (the "Operating Agreement"), hereby
unanimously adopt the following resolution, which shall supersede any provisions of the Operating
Agreement. All articles of the Operating Agreement not modified by this Resolution shall remain in effect
and binding upon the Members:
RESOLVED, that the Company adopt the following Membership ownership percentages

IT IS FURTHER RESOLVED, that the Company shall purchase, renovate, and refinance the
property at 84 Madison Ave. Albany, NY 12202 (the "Property").
IT IS FURTHER RESOLVED, that each member may jointly and severally sign loan documents
on behalf of the Company, pursuant to Article 1.12 of the Operating Agreement.

IT IS FURTHER RESOLVED, that the Company shall register the trade name “Lychee
LFTY0431 LLC” with both the Wyoming and New York Secretaries of State, in accordance with the
warranty deed for the Property as it is currently vested.
IT IS FURTHER RESOLVED, that the mortgagee on record is Park Place Finance, and the
mortgagor on record is LFTY0431 LLC (the “Mortgagor”), a wholly-owned subsidiary of the Company.
IT IS FURTHER RESOLVED, that Wesley Babcock shall be the primary Guarantor responsible
for the loan principal and interest payments paid on behalf of the Company, and any reduction in the
principal balance by any of the listed Members shall result in the release of escrowed tokens to the
corresponding Member's wallet, and any reduction in the principal balance by the Company shall result
in the burning of corresponding escrow tokens out of circulation, rounded to the nearest $50.
IT IS FURTHER RESOLVED, that upon listing onto Lofty.ai, the Company shall pay the
monthly loan principal and interest payments, thereby reducing its Net Operating Cash Flow.
IT IS FURTHER RESOLVED, that the Membership Ownership Percentages may adjust from
time to time based on each Member's Capital Accounts, as the Company may issue new shares at a par
value of $50.00 per share based on the most recent appraisal of the Property's Fair Market Value ("FMV")
at the time of each additional Capital Contribution.
IT IS FURTHER RESOLVED, that this Resolution controls Membership interests until the
Property is tokenized and listed publicly on Lofty.ai, upon which date the DAO smart contract shall
activate and supersede the initial Membership interests outlined in this Resolution.
IT IS FURTHER RESOLVED, that the principal address of the Company is 84 Madison Ave.
Albany, NY 12202, and the Company shall report its tax return in the cash basis format on the calendar
year.
