ORGANIZATIONAL RESOLUTION AGREEMENT BEAGLE LFTY0454 DAO LLC Regarding 22164 Umland Circle, Jenner, CA 95450 Date: June 10, 2026 Property: 22164 Umland Circle, Jenner, CA 95450 APNs: 109-420-030-000 and 109-420-031-000 County: Sonoma County, California RECITALS WHEREAS, Beagle LFTY0454 DAO LLC (the "DAO") is the legal owner of the real property located at 22164 Umland Circle, Jenner, CA 95450 (the "Property"); WHEREAS, the Property is currently subject to a first position lien in the approximate amount of $785,000 and is facing foreclosure with an auction date of June 10, 2026; WHEREAS, the Members of the DAO have determined that it is in the best interest of the DAO to secure additional capital to prevent foreclosure and preserve the Property; WHEREAS, Jimmy Murray, a Member of the DAO, has agreed to purchase equity in the DAO at $25.00 per share for a total investment of $104,000.00 (representing 4,160 shares); WHEREAS, as additional security for Jimmy Murray's investment, the DAO has agreed to grant a second position lien on the Property in the amount of $208,000.00, guaranteeing a 100% return on equity in the event of a sale above the combined lien amounts; WHEREAS, Kraig Clark, a Member and Co-Owner of the Property, previously executed a Quitclaim Deed transferring his interest to the DAO on February 21, 2025, which deed requires concurrent recording with this Agreement due to an apparent recording defect; NOW, THEREFORE, the Members hereby resolve as follows: RESOLUTIONS 1. EQUITY PURCHASE APPROVAL The DAO hereby approves the sale of 4,160 shares of membership interest to Jimmy Murray at $25.00 per share, for a total purchase price of $104,000.00. 2. SHARE TRANSFER AUTHORIZATION The DAO authorizes and directs Lofty (the DAO's record-keeping platform) to record the transfer of 4,160 shares from Kraig Clark's Lofty account to Jimmy Murray's Lofty account, effective upon execution of this Agreement. 3. SECOND POSITION LIEN AUTHORIZATION The DAO hereby authorizes the execution and recording of a Promissory Note and Deed of Trust (or equivalent security instrument) granting Jimmy Murray a second position lien on the Property in the amount of $208,000.00, with the following terms: Principal Amount: $208,000.00 Security: Second position lien on 22164 Umland Circle, Jenner, CA 95450 (APNs: 109-420-030-000 and 109-420-031-000) Return Guarantee: 100% return on equity ($208,000.00) payable from sale proceeds exceeding the combined first and second lien amounts (currently approximately $993,000.00) Priority: Junior to existing first position lien(s) totaling approximately $785,000.00 Interest Rate: 0% (No interest; return is via equity guarantee only) 4. QUITCLAIM DEED RECORDING The DAO acknowledges receipt of the Quitclaim Deed from Kraig Clark to the DAO, dated February 21, 2025, and authorizes the concurrent recording of said Quitclaim Deed with this Organizational Resolution Agreement and the Promissory Note with the Sonoma County Recorder's Office. 5. AUTHORIZED REPRESENTATIVES The following individuals are authorized to execute and deliver all documents necessary to effectuate the transactions described herein: Earl Vanze, Member and Authorized Representative of Beagle LFTY0454 DAO LLC Jimmy Murray, Member and Investor Kraig Clark, Member and Co-Owner/Borrower 6. FORECLOSURE PREVENTION The proceeds from the equity purchase shall be used exclusively for purposes of preventing foreclosure on the Property, including but not limited to: loan reinstatement, payoff of delinquent amounts, or other loss mitigation activities as determined by the Members. 7. RECORDING AUTHORIZATION The DAO authorizes the recording of this Organizational Resolution Agreement, the accompanying Promissory Note, and the Quitclaim Deed from Kraig Clark to the DAO with the Sonoma County Recorder's Office.
