Nature of Interest Tokenized Ownership Structure: The DAO LLC represents fractional ownership interests held by shareholders through the Lofty.ai marketplace platform. Unauthorized Transfer: The deed to said property was transferred to Yhome Nursing LLC without proper authorization from the DAO LLC members per the governance procedures required by the Operating Agreement. Reserved Rights: The DAO LLC reserves all rights, title, and interests in and to said property, including but not limited to rental income, security deposits, insurance proceeds, tax benefits and obligations, appreciation and equity interests, and other incidents of ownership. Proposed Trust Resolution: The parties are preparing title-holding trust documentation under which title may be conveyed to Ecosystems Asset Recovery Lending DAO LLC, as Trustee of The 1845 W 48th Street Trust, No. 2605220109, subject to final review, execution, notarization, and recording. Warning to Third Parties Any person or entity dealing with Yhome Nursing LLC, Calixte Duffaut, or any successor in interest regarding this property does so with notice of the DAO LLC's claim. Any transfer, encumbrance, or disposition of the property without DAO LLC authorization shall be subject to the DAO LLC's superior equitable and legal claims. MEMORANDUM OF AGREEMENT 1. Property Management Relationship The DAO LLC engaged Yhome Nursing LLC as property manager for the subject property under a Property Management Agreement. 2. Unauthorized Deed Transfer Yhome Nursing LLC caused or permitted the property deed to be transferred to itself without DAO LLC member approval via governance vote, compliance with the Operating Agreement transfer procedures, and fair consideration to DAO LLC members. 3. Withheld Funds Yhome Nursing LLC and/or Calixte Duffaut are alleged to be withholding funds or value belonging to the DAO LLC, including but not limited to rental proceeds, security deposits, reserve funds, insurance proceeds, and refinance/sale proceeds. 4. Claims and Causes of Action The DAO LLC asserts claims including breach of fiduciary duty, conversion of DAO assets, unjust enrichment, fraudulent transfer, and breach of property management agreement. 5. Pending Resolution This Notice shall remain in effect until the disputes are resolved by mutual written agreement or final judgment of a court of competent jurisdiction.
