Tokenized Ownership Structure: The DAO LLC represents fractional ownership interests held by token holders through the Lofty.ai marketplace platform. 2. Property Management Agreement: The DAO LLC entered into a property management agreement with Yhome Nursing LLC regarding the above-referenced property. 3. Unauthorized Transfer: The deed to said property was transferred to Yhome Nursing LLC without proper authorization from the DAO LLC token holders per the governance procedures required by the Operating Agreement. 4. Reserved Rights: The DAO LLC reserves all rights, title, and interests in and to said property, including but not limited to: (a) all rental income and security deposits; (b) insurance proceeds; (c) tax benefits and obligations; (d) appreciation and equity interests; (e) all other incidents of ownership. Warning to Third Parties Any person or entity dealing with Yhome Nursing LLC, Calixte Duffaut, or any successor in interest regarding this property does so with notice of the DAO LLC's claim. Any transfer, encumbrance, or disposition of the property without DAO LLC authorization shall be subject to the DAO LLC's superior equitable and legal claims. MEMORANDUM OF AGREEMENT This Memorandum is entered into to provide public notice of the following agreements and understandings: 1. Property Management Relationship The DAO LLC engaged Yhome Nursing LLC as property manager for the subject property under a Property Management Agreement. 2. Unauthorized Deed Transfer Yhome Nursing LLC caused or permitted the property deed to be transferred to itself without: (a) DAO LLC member approval via governance vote; (b) Compliance with the Operating Agreement's transfer procedures; (c) Fair consideration to the DAO LLC token holders. 3. Withheld Funds Yhome Nursing LLC is currently withholding funds belonging to the DAO LLC, including but not limited to: (a) rental proceeds; (b) security deposits; (c) reserve funds; (d) insurance proceeds; (e) refinance/sale proceeds. 4. Claims and Causes of Action The DAO LLC asserts claims against Yhome Nursing LLC and Calixte Duffaut for: (a) Breach of fiduciary duty; (b) Conversion of DAO assets; (c) Unjust enrichment; (d) Fraudulent transfer; (e) Breach of property management agreement. 5. Pending Resolution The parties acknowledge that disputes exist regarding the proper ownership, control, and disposition of the subject property and related funds. This Notice shall remain in effect until such disputes are resolved by: (a) Mutual written agreement of the parties; (b) Final judgment of a court of competent jurisdiction; (c) Arbitration award pursuant to the Property Management Agreement.
