- In light of the governance voting results of October 30, 2025, authorizing the filing of a prospective lawsuit against Yhome Nursing LLC and/or Calixte Duffaut, this resolution of the members of Goose LFTY0320 DAO LLC (the "Florida Park DAO" or "DAO") seeks authorization for Earl Vanze Co, acting as Authorized Representative on behalf of the DAO, to serve as the authorized representative of the DAO with respect to the litigation in particular and throughout the pendency of the litigation, with authority to make any and all litigation decisions on behalf of the DAO in consultation with legal counsel.
- If approved, this proposal authorizes Earl Vanze Co to serve as the single point of contact for the DAO and liaison to legal counsel on behalf of the DAO, and further authorizes Earl Vanze Co to receive any and all litigation updates from legal counsel on behalf of the DAO, and to make any decisions with respect to the prospective litigation and to authorize any action in the prospective litigation on behalf of the DAO. Such authorization will continue throughout the pendency of the litigation until resolution is reached by settlement, adjudication on the merits, or dismissal, unless otherwise terminated by a valid and enforceable vote of the DAO.

- This Resolution of the members of Goose LFTY0320 DAO LLC (the "Florida Park DAO" or "DAO") seeks authorization for Earl Vanze Co acting as Authorized Representative on behalf of the DAO to approve filing a civil lawsuit against Yhome Nursing LLC and/or Calixte Duffaut (the “Prospective Lawsuit”). If approved, this proposal will provide the Florida Park DAO with the authority to file the Prospective Lawsuit, but will not obligate or require the Florida Park DAO to actually file the Prospective Lawsuit. Litigation mechanics and strategy will be finalized at a later date, subject to the advice and recommendation of counsel.
- If approved, this proposal authorizes Lofty to identify counsel to represent the Florida Park DAO in connection with the Prospective Lawsuit, understanding that Lofty is willing to pay for those legal costs and expenses reasonably incurred by the Florida Park DAO in connection with the Prospective Lawsuit.
- This proposal is being submitted based upon information and belief that Yhome Nursing LLC and/or Calixte Duffaut (collectively, “Yhome”) breached their agreement(s) with the Florida Park DAO and its members, and/or otherwise engaged in wrongful and/or illegal conduct with respect to 122 Florida Park Drive, Palm Coast, FL 32137 (“Florida Park” or the “Property”) and the management thereof. More specifically, the conduct motivating this proposal includes, but is not limited to, the following:
- Yhome’s transfer of title to Florida Park from the Florida Park DAO to Yhome Nursing LLC.
- Yhome’s assignment of its interest in leases and rents, among other things, to LendingOne, LLC.
- Yhome’s misrepresentations to the Florida Park DAO about the Property, including its current state and ownership.
- Yhome’s delay in transitioning out of the property management role.
- Yhome’s withholding of rents and other income duly owed to the Florida Park DAO that were (and are being) generated by the Property.

- Yhome Nursing LLC has provided the following update:
- Dear Investors,
- I would like to provide an update regarding the rent-to-own contract. It has always been our intention to activate this contract, and it was communicated that the property had a short-term loan requiring refinancing. This strategy was approved through a vote, and the refinancing was successfully completed last month.
- During the recent challenges faced by Yhome, I chose to remain patient and observe developments. Throughout this period, I continued to work diligently, and the rent-to-own tenant signed the letter of intent, which was shared with all of you.
- Regrettably, the contract has now been terminated by a governance vote, and the property has been taken over by the DAO, along with all associated responsibilities and liens. As the tenant is now classified as a standard tenant, I will be sending all relevant documents to you and to the newly elected property manager.
- Additionally, I want to highlight the following financial details: the outstanding payment is $2,161.01 (escrowed), along with $129.49 for Sunnova solar and $131.79 for the Sunnova roof. Please note that under the rent-to-own contract, the tenant was responsible for all associated costs, including payments for solar. These costs were not factored into the initial calculations (including the roof), and Yhome has been covering them. However, with the DAO now in full control, all financial responsibilities rest with the DAO.
