DRAFT PROMISSORY NOTE 1090 Diagonal Rd — Matching Deferred Settlement Note This Promissory Note is intended as a definitive-form draft for counsel review. Economic terms are based on the settlement framework approved for 1090 Diagonal Rd. 1. Principal Obligation FOR VALUE RECEIVED, Yhome Nursing LLC, and Calixte Duffaut to the extent signing individually or as additional obligor (collectively, “Maker”), promises to pay to Lofty Holding 1090 Diagonal Rd DAO LLC (“Payee”), or its authorized representative, the principal sum of Fifty Thousand Dollars ($50,000.00), together with interest as set forth below. 2. Date / Purpose This Note is issued as the deferred settlement component of the 1090 Diagonal Rd closeout arrangement following immediate application of $28,876.78 against the total negotiated settlement amount of $78,876.78. 3. Interest Interest shall accrue on the unpaid principal balance at a rate of twelve percent (12%) per annum, simple interest, non-compounding. Interest shall accrue retroactively beginning May 6, 2025 and continue until paid in full. 4. Maturity All outstanding principal and accrued but unpaid interest shall be due and payable in full on April 30 , 2026 (the “Maturity Date”), unless paid sooner in accordance with this Note. 5. Prepayment Maker may prepay principal and accrued interest at any time without penalty. 6. Mandatory Application of Sale Proceeds Maker agrees that sale proceeds from the following properties shall be applied to this Note in the order that such properties close, up to the full amount then due under this Note: A. 8708 Willard Ave. Cleveland, OH 44102 — $19,897.82 B. 12028 Wade Park Ave, Cleveland, OH 44106 — $17,092.03 C. 26931 Shoreview Ave. Euclid, OH 44132 — $9,963.83 D. 3850 W 17th St Cleveland, OH 44109 — $9,633.29 Net proceeds from whichever of the above properties close first shall be applied until this Note and all accrued simple interest are satisfied in full. Application of proceeds from settlement or source-property sales shall occur in the following order: 1) Universal Lending DAO balance 2) Funds due to HRG (commingled) 3) Funds due to Lofty 4) Remainder as member distributions via daily rent payout All payments shall be applied first to accrued but unpaid interest, then to principal, subject to the foregoing settlement proceeds order where applicable. 7. Delivery / Control of Proceeds Maker shall cooperate in executing all deeds, transfer documents, closing statements, settlement statements, and payoff instructions necessary to ensure that applicable proceeds are delivered to Lofty AI Inc., ECO Systems LLC, or another designated settlement agent solely for payment of this Note. 8. Fallback Collateral / In-Kind Satisfaction If the unpaid principal balance of this Note remains outstanding on the Maturity Date, the parties may invoke a fallback structure under which 1,000 EARLDAO shares are pre-identified as collateral / in-kind satisfaction for the $50,000.00 principal component of this Note, with accrued interest to be addressed as separately agreed in the definitive settlement documents. The fallback block consists of 493 shares currently attributable to Yhome and 507 shares from the EARLDAO reserve pool. The parties acknowledge that EARLDAO currently has 8,500 shares outstanding and that this 1,000-share block has already been accounted for in capitalization planning. 9. Events of Default Each of the following shall constitute an Event of Default: A. failure to pay all principal and accrued interest on or before the Maturity Date; B. failure to cooperate in sale transfer mechanics or closing instructions for the listed source properties; C. diversion of proceeds required to be applied to this Note; D. refusal to honor the agreed fallback share transfer once properly triggered. 10. Remedies Upon an Event of Default, Payee, acting through its Authorized Representative, may accelerate the full unpaid balance of principal and accrued interest and pursue all available legal and equitable remedies. 11. No Waiver Failure to exercise any right under this Note shall not constitute a waiver of any such right. 12. Governing Documentation This Note shall be interpreted consistently with the jointly negotiated re conciliation settlement framework for 1090 Diagonal Rd. (Exhibit A). 13.
