- Owner-Proposed Governance Vote:
- This Resolution of the members of Lofty Holding 1090 Diagonal Road DAO LLC (the "Diagonal DAO" or "DAO") seeks authorization for Earl Vanze Co acting as Authorized Representative on behalf of the DAO to approve filing a civil lawsuit against Yhome Nursing LLC and/or Calixte Duffaut (the “Prospective Lawsuit”). If approved, this proposal will provide the Diagonal DAO with the authority to file the Prospective Lawsuit, but will not obligate or require the Diagonal DAO to actually file the Prospective Lawsuit. Litigation mechanics and strategy will be finalized at a later date, subject to the advice and recommendation of counsel.
- If approved, this proposal authorizes Lofty to identify counsel to represent the Diagonal DAO in connection with the Prospective Lawsuit, understanding that Lofty is willing to pay for those legal costs and expenses reasonably incurred by the Diagonal DAO in connection with the Prospective Lawsuit.
- This proposal is being submitted based upon information and belief that Yhome Nursing LLC and/or Calixte Duffaut (collectively, “Yhome”) breached their agreement(s) with the Diagonal DAO and its members, and/or otherwise engaged in wrongful and/or illegal conduct with respect to 1090 Diagonal Rd Akron, Ohio 44320 (“Diagonal” or the “Property”) and the management thereof. More specifically, the conduct motivating this proposal includes, but is not limited to, the following:
- Yhome’s false misrepresentation on the deed that Yhome was the sole member of the DAO at that time
- Yhome wrongfully withholding $74,539.76 in sale proceeds from investors.
- If approved, this proposal authorizes Earl Vanze Co to serve as the single point of contact for the DAO and liaison to legal counsel on behalf of the DAO, and further authorizes Earl Vanze Co to receive any and all litigation updates from legal counsel on behalf of the DAO, and to make any decisions with respect to the prospective litigation and to authorize any action in the prospective litigation on behalf of the DAO. Such authorization will continue throughout the pendency of the litigation until resolution is reached by settlement, adjudication on the merits, or dismissal, unless otherwise terminated by a valid and enforceable vote of the DAO.
- The winning vote will be determined by a Supermajority of 60%+ and the results will be sent to owners on Tuesday, March 10th, once the voting period ends.

- *Because this is an owner proposed vote, Lofty cannot change the content. It’s up to owners to verify the accuracy of the claims below.
- Hey all,
- I believe the Diagonal Road sale has gone through, and a detailed accounting review is underway, with the funds being held by Yhome until completion, so everyone can be sure there are no outstanding bills.
- I’d personally like to use my tokens to help establish a Lending DAO. This would offer short-term support to properties with unpaid balances, helping them progress toward release from Yhome as soon as possible. These funds would only be lent if the individual DAOs proposed Governance votes to borrow funds. This requirement, and the passing of the votes, ensures the members of the DAO requesting funds have conducted their own due diligence on money owed and are comfortable to settle invoice payments quoted.
- By us getting ahead and voting today rather than waiting for the conclusion, we may help expedite the accounting process so both properties and the release of everyone's funds happen sooner rather than later. To make lending agreements easier for all parties, we should follow the initial Property Management agreement and provide these funds at 6%.[link to terms].
- Funds would only go to properties that have voted to migrate to new PMs. However, since several may benefit from modest support, I recommend the DAO be structured to help any eligible property, rather than just one or two.
- To respect everyone's personal positions, I’ve asked Lofty to count votes individually so we can all have our own say. If you don’t wish to participate in a lending DAO, you’ll need to wait for funds to be released and for the final token price of the sale to be calculated accurately.
- To avoid locking up funds unnecessarily and give each of us more flexibility, I’ve proposed options with different term lengths and built flexibility so you don't have to contribute everything to a lending DAO if you don't want to.
- I'd truly appreciate your support so we can try our best to help and resolve the outstanding issues together.

- Cal's proposal is as follows:
- I’m reaching out regarding the property at 1090 Diagonal Rd, Akron. As we approach the next quarter, I'm pleased to share our analysis.
- The property is currently rented, and the tenant has settled in well. However, our assessment indicates that the area remains high-risk, with a history of evictions and multiple thefts of our furnaces, both prior to and during our time with Yhome. It’s crucial that we make a final decision moving forward.
- Currently, the property carries a debt of approximately $29,442.81, which includes unpaid bills and a Yhome loan of $13,753.55 (excluding interest). Additionally, this property is located outside our primary focus area, and Akron has been identified as a high-risk region.
- The property was purchased for $78,000 on March 17, 2022, and previously spent 156 days on the market when we attempted to sell the last time. At Yhome, we do not sell properties under distress, and while we have renovated and stabilized the property, we must consider our next steps carefully.
